Terms of Service

RECITALS

A. BaariSoft is providing outsourcing services. which includes the induction of contractors.

C. BaariSoft will provide server according to the terms and condition of service agreement.

 

IT IS AGREED as follows:

1. DEFINITIONS AND INTERPRETATION

Section A1 below. provides the details of the Definitions for this Service Agreement.

2. AGREEMENT - DAY TO DAY OPERATION

2.1 Here we are providing a process for day to day activities with respect to the contract.

2.2  The type of this agreement with BaariSoft does not establish any form of employment.

The liability of your employee rests with the client. Independent contractors hiring is done on the basis of applicable local rules and laws.
Any kind of partnership between BaariSoft client and employee is not permissible in this agreement.

3. DURATION

3.1 This Agreement will start on the starting date as agreed upon with the client and it will continue until terminated.

4. PAYMENT

4.1 Payment time is mentioned in the section A1 bellow and the important terms and conditions as on the BaariSoft website.

4.2 The provisions provided in section A1 bellow are effective under this Contract.

5. NO BaariSoft LIABILITY

5.1 In case of any loss or damage, costs or compensation (whether direct or indirect) to The Client, no liability shall be fulfilled by BaariSoft. The following cases are included:

a) Any delay in the Hiring process of the employee.

b) The event of non-acceptance of an offer by a BaariSoft employee.

c) Performance of a BaariSoft Employee

6. THE CLIENT'S INDEMNITY TO BaariSoft

6.1 With these cases of loss or claims the client has to pay the compensation amount to BaariSoft

a) An injury to a BaariSoft employee while performing his/her duties for the client.

b) Any kind of Property damage while the performance of duties by a BaariSoft employee

6.2 If an employee creates a claim with respect to his/her termination of services, the client has to recompense BaariSoft for the same.

RESTRICTION ON DIRECT HIRING OF BAARISOFT SERVICE EMPLOYEES

7.1 The Client must pay to BaariSoft 15,000.00 USD for each BaariSoft employee who has been offered/hired by the Client directly.

7.2 When this contract is terminated, no BaariSoft employee who is performing an assignment for The Client or has performed an assignment for The Client in the last 12 months can be offered a contract or permanent employment by The Client.

7.3 BaariSoft Employee 's friends, family members, referrals and network cannot be offered work or Assignments by BaariSoft clients without prior approval

7.4 No information exchange related to payments and pricing between BaariSoft and BaariSoft employees shall be permitted

8. INTELLECTUAL PROPERTY

8.1 All output produced by the BaariSoft Employee will be owned by the Client under his copyright.

PRIVACY

9. All parties agree that they will handle personal information in accordance with the Privacy Laws.

10. CONFIDENTIAL INFORMATION

10.1 Subject to Clause 10.2, only that information will be disclosed which is required by the law.

11. WARRANTIES

Both parties represent and justify to the other party that:

a) There are no activities, demands, operations or inquiries continuing or threatened against it or by it of which it is aware, and which may have a material effect on the subject matter of this Contract.

12. TERMINATION

12.1 A party may immediately terminate if:

a) the party breaches this contact and do not take action against this breach in the next 5 business days.

e) the other party becomes bankrupt.

12.2 The Client can appoint the employee on a trial basis (1-10) days. The client can terminate him at any time during the test period.

12.3 The Client can fire the full-time employees in the following manner:

a. after 6 months of appointment, 30 days notice is Obligatory.

b. For more than 6 months, 60 days notice is Obligatory.

12.4 Upon termination:

(a) The client will give all Private data/information back to BaariSoft.

13. ACCEPTANCE

The Client accepts the terms and conditions as described on BaariSoft website

(a) The Client Requesting for Services. OR
(b) The Client selecting BaariSoft to give services to The Client. OR

(c) The Client selecting a BaariSoft Employee. OR

(d) The Client offering a payment of any amounts listed within Section 1A, including but not limited to set up fees, monthly fees and/or any payment of BaariSoft invoices (whichever is the earliest); or

(e) The Client indicating its acceptance

14. DUTY OF CONFIDENTIALITY

a. BaariSoft and the BaariSoft Employee acknowledge not to disclose Confidential Information of The Client.

Section A1 -FEE STRUCTURE

Regular Billing System

1. The client must use the Regular Billing System.

2. The Client must pay in advance by using either of the following 2 options:

(a) prepaid payments

(b) regular monthly payments

Via

- Credit Card Online Payment

- Direct Debit or Credit Cards and Bank Accounts

- Electronic Fund Transfer

3. Pay in advance or on an agreed fixed monthly date.

4. The Clients can make EFT into BaariSoft's bank accounts.

5. The overtime payments will be included in the following month's invoice.

6. The Client at any time may request a refund of the amount held with 2 week refund processing period.

Insufficient funds

7. if 

(a) the Available Balance falls below zero; OR

BaariSoft is allowed to suspend the services for a period of 5 Business Days (Suspension Period)

8. During that Period, The Client must pay to BaariSoft any amount in arrears, else the contract shall be terminated

Holidays

1. The BaariSoft Employee is entitled to request for leaves on public holidays of his or her location
